# Recovery Payment Terms

Important information about the process for claiming your payment (hereinafter, “Recovery Payment”):

1. By claiming your Recovery Payment, you agree to Resolv's Terms of Service, and you enter into this release (“Claims Release”). In this Claims Release, Resolv means each of Resolv Foundation, Resolv Digital Assets Ltd, and Resolv Labs Ltd, and includes each entity's parent, subsidiaries, assigns, transferees, representatives, principals, agents, officers, or directors.
2. In exchange for your Recovery Payment, you release and forever discharge Resolv from all claims,  rights, demands and set-offs, including non contractual claims, whether in the British Virgin Islands or any other jurisdiction, whether or not presently known to you, and whether in law or equity, that you ever had, may have or hereafter can, shall or may have against Resolv arising out of or connected with the March 22, 2026, security incident (the "Released Claims").&#x20;
3. You agree not to sue, commence, voluntarily aid in any way, prosecute, or cause to be commenced or prosecuted against Resolv any action, suit, or other proceeding concerning the Released Claims,
4. You warrant and represent that you have not sold, transferred, assigned, or otherwise disposed of your interest in the Released Claims and that you have the full right, power, and authority to perform this Claims Release, including (without limitation) not to sue and with respect to the indemnities below.
5. You warrant and represent that you have not participated in any transaction involving USR which was illicitly minted as a result of the security incident.&#x20;
6. You hereby indemnify, and shall keep indemnified, Resolv against all costs and damages (including the legal expenses of Resolv) incurred in all future actions, claims and proceedings in respect of any of the Released Claims which you may bring against Resolv or any of them.
7. This Claims Release is not, and shall not be represented or construed as, an admission of liability or wrongdoing on the part of Resolv.
8. You agree that you do not have a contractual redemption right. Your Recovery Payment is made at the sole discretion of Resolv pursuant to this Claims Release.&#x20;
9. In making the Recovery Payment to you, Resolv makes no guarantee of the price of USR or representations or warranties regarding any aspect of the Resolv ecosystem.&#x20;
10. This Claims Release and Resolv’s Terms of Service constitute the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations, and understandings between them, whether written or oral. You agree that you shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. You agree that you shall have no claim for innocent or negligent misrepresentation based on any statement in the payment process.
11. This Claims Release and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of the British Virgin Islands. Each party irrevocably agrees that the courts of the British Virgin Islands shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this agreement or its subject matter or formation.
12. No variation of this Claims Release shall be effective unless it is in writing and signed by the parties (or their authorised representatives).
